User Agreement
1. General Provisions
1.1. This User Agreement governs the procedure for using the software service (the “System”) made available on the Licensor’s Website.
1.2. Use of the System constitutes the System user’s (the “Licensee’s”) full and unconditional acceptance of the terms of this User Agreement, the Offer, the Rules for Use of the System, the Acceptable Use Policy, and the Privacy Policy.
1.3. The System is a suite of software for computers and related technical infrastructure (software and hardware complex) hosted on the equipment of the Licensor and/or third parties, intended to automate management of the Licensee’s equipment network settings and data exchange between devices in accordance with specified algorithms.
1.4. The Licensor is not a telecommunications operator, does not provide communications services, does not own the network infrastructure used for internet traffic transmission, and does not undertake obligations to ensure connectivity as such.
1.5. All network resources, including IP addresses, data transmission channels, routes, proxy nodes, and other technical means used in the operation of the System, are provided or maintained by third parties.
1.6. The Licensor grants the Licensee the right to use the System within its functional capabilities and under the terms set out in the Offer and other documents published on the Website.
1.7. IP addresses, proxy resources, communication channels, equipment, and other technical means are not transferred to the Licensee into ownership, possession, lease, or any other proprietary or contractual arrangement.
2. Registration and Account
2.1. To use the System, the Licensee must complete the registration procedure.
2.2. Registration is carried out using an email address, which is used as the login credential for access to the System.
2.3. During registration, the Licensee must:
- provide a valid email address;
- create a password;
- provide accurate registration information.
2.4. After registration, the Licensee is granted access to the Personal Account.
2.5. The Personal Account is intended for:
- managing the account;
- purchasing the Usage Limit;
- receiving access parameters;
- viewing statistics on use of the System.
2.6. The Licensee must ensure the confidentiality of its account credentials, including login details, password, and other means of access to the System.
2.7. All actions performed through the Licensee’s account shall be deemed to have been performed by the Licensee unless proven otherwise.
2.8. The Licensee must use a valid email address when registering and using the System, keep registration information up to date, and independently control access to the specified email address.
3. Use of the System
3.1. Use of the System is carried out on the basis of a non-exclusive license granted in accordance with the Offer.
3.2. Within the functionality of the System, the Licensee may be provided with the ability to:
- use the System software interface;
- send internet requests through available network routes and third-party IP addresses;
- track and consume the purchased Usage Limit;
- manage access parameters through the System interface and the Personal Account.
3.3. Use of the System is permitted only within the functionality provided by the Website interface, the Offer, this User Agreement, and other documents published on the Website.
3.4. The Licensee understands and agrees that data transmission when using the System takes place between the Licensee’s software and the software interfaces of third parties. The Licensor only provides a software algorithm enabling automatic modification of connection parameters of the Licensee’s equipment and software for the purpose of such transmission.
4. Usage Limit
4.1. To use the System, the Licensee purchases a Usage Limit.
4.2. The Usage Limit is a technical parameter defining the maximum volume of data exchange operations available when using the System during the license term.
4.3. The Licensee independently determines the volume of Usage Limit required.
4.4. Upon payment for the relevant Usage Limit, the right to use the System within that limit is granted for a period of 31 (thirty-one) calendar days from activation, unless another activation moment is expressly stated in the System interface.
4.5. Upon expiration of that period, access to the relevant Usage Limit shall terminate, and the unused portion of the Usage Limit shall be transferred into Frozen Remainder status for 14 (fourteen) calendar days.
4.6. During the freezing period, the Frozen Remainder is unavailable for use until the Licensee pays for a new Usage Limit.
4.7. If a new Usage Limit is paid for during the freezing period, the Frozen Remainder shall be aggregated with the newly purchased Usage Limit. From the activation of the new Usage Limit, the Licensee shall be granted the right to use the total aggregated volume for a new period of 31 (thirty-one) calendar days, unless otherwise expressly indicated in the System interface.
4.8. If the Licensee does not pay for a new Usage Limit within 14 (fourteen) calendar days from the beginning of the freezing period, the Frozen Remainder shall be canceled without any compensation.
4.9. The Frozen Remainder:
- cannot be used during the freezing period without payment for a new Usage Limit;
- is aggregated with a new Usage Limit only if such new Usage Limit is paid for during the freezing period;
- is not compensable;
- is not refundable.
4.10. To continue using the System, the Licensee must purchase a new Usage Limit before expiration of the current validity period or during the freezing period.
5. Use of Third-Party Infrastructure
5.1. The algorithms embedded in the System involve interaction with public data transmission networks owned or operated by third parties.
5.2. The Licensor is not the owner of such infrastructure and is not a party to the legal relationships arising between the Licensee and the owners/operators of such networks, including telecommunications operators, internet providers, hosting providers, and other persons.
5.3. The Licensor does not guarantee:
- availability of specific IP addresses;
- permanence of IP geolocation;
- consistency of geolocation data with information in third-party services;
- compatibility of the System with all websites, platforms, browsers, applications, and devices;
- absence of restrictions, blocks, or sanctions imposed by third parties.
5.4. All risks associated with the use of third-party infrastructure, including blocks, restrictions, denials of access, unstable connections, geolocation mismatches, and similar circumstances, shall be borne by the Licensee.
6. Security
6.1. The Licensor takes necessary technical and organizational measures to ensure the security of the Website and the System, including:
- protection against unauthorized access;
- protection against malicious software;
- prevention of unlawful access to the Licensee’s confidential information and its loss, alteration, blocking, copying, dissemination, or other unlawful acts by third parties.
6.2. Despite such measures, the Licensor cannot guarantee absolute protection of the System against all possible threats.
6.3. The Licensee must independently ensure the security of the devices, software, account credentials, and access channels used to access the System.
7. Limitation of Liability
7.1. The System is provided on an “as is” basis.
7.2. The Licensor does not guarantee that:
- the System will fully meet the Licensee’s expectations;
- use of the System will be continuous, uninterrupted, or error-free;
- all internet resources will be accessible when using the System;
- the purchased Usage Limit will actually be consumed by the Licensee before expiration of its validity period or freezing period.
7.3. The Licensor shall not be liable for:
- the Licensee’s actions when using the System;
- blocking of accounts, dashboards, or other accounts on third-party services;
- restrictions imposed by websites, services, and platforms;
- losses arising from use of the System;
- failures, interruptions, and other problems in the operation of third-party infrastructure;
- consequences of the Licensee’s violation of applicable law.
7.4. Use of the System is at the Licensee’s own risk.
8. Restriction and Blocking of Access
8.1. The Licensor may restrict, suspend, or terminate the Licensee’s access to the System in the event of:
- breach of this User Agreement;
- breach of the Offer;
- breach of the Rules for Use of the System;
- breach of the Acceptable Use Policy;
- unlawful use of the System;
- creation of a threat to the System, the Licensor, partners’ infrastructure, or third parties.
